1.4. Free Trial Sign-Up Requirements

(iv) Must provide valid payment information for free trial registration.
(v) Demonstration-only or inquiry-only participants are explicitly excluded from the Promotion.
(b) Sign-Up Completion
(i) Full attention required throughout process;
(ii) Active participation expected;
(iii) Must complete entire scheduled sign-up flow;
(iv) Must agree to standard Warp terms and conditions.
1.5. Business Requirements
(a) Entity Specifications
(i) Must be legally registered business entity;
(ii) Must be in good standing;
(iii) Must have valid EIN;
(iv) Must be US-based operations.
(v) The business entity shall maintain no fewer than two (2) full-time employees or team members.
(b) Excluded Organizations

1.10. Disqualification Triggers
(a) Automatic Disqualification for:
(i) False information;

2. PROMOTION PARTICIPATION

(b) Gift Card Eligibility Determination
(i) Final review of all qualification criteria;

2.4. Disqualification Factors
(a) Automatic Disqualification Events
(i) Failure to complete sign-up process;
(ii) Inability to verify founder/co-founder status;

(b) Discretionary Disqualification
(i) Unprofessional conduct during sign-up process;

2.5. Communication Protocol

3. GIFT CARD TERMS
3.1. Award Process
(a) Gift cards will only be awarded upon:
(i) Satisfaction of all eligibility requirements outlined in Section 1;
(ii) Successful completion of the platform sign-up process;
(iii) Verification of all submitted documentation;
(iv) Final approval by Warp's compliance team;
(v) Completion of two successful pay cycles on Warp.
(b) Final determination of qualification is at Warp's sole discretion;
(c) Gift cards are non-transferable, non-assignable, and non-negotiable;
(d) Processing time for gift card delivery may take up to 30 business days following qualification.
3.2. Gift Card Specifications
(a) The specific type and value of the gift card will be determined by Warp;
(b) Gift cards are subject to the terms and conditions of the issuer;
(c) Gift cards will generally be for use in the U.S. and sent to the participant's verified email address. Physical delivery terms, if applicable, will be specified by Warp.
3.3. Restrictions and Limitations
(a) Limit one gift card per eligible company, regardless of number of founders;
(b) Gift cards cannot be:
(i) Combined with other promotional offers;
(ii) Exchanged for cash or cash equivalents;
(iii) Replaced if lost, stolen, or damaged after delivery;
(iv) Used for illegal purposes or in violation of applicable laws.
(c) Gift cards expire 30 days after sending. Expired gift cards will not be replaced or extended.
3.4. Redemption Requirements
(a) Gift card offers must be redeemed before their expiration date (30 days after sending);
(b) Redemption procedures will vary based on availability and delivery method;
(c) Additional verification may be required at time of redemption;
(d) Warp is not responsible for technical issues during redemption process;
(e) Third-party terms and conditions may apply to gift card redemption.
3.5. Delivery and Receipt
(a) Recipients must acknowledge receipt of the gift card through specified channels;
(b) Undeliverable gift cards (e.g., due to incorrect email or if physical, address issues) may result in forfeiture of the offer after reasonable attempts by Warp;
(c) Contact information changes (email or physical address if applicable) must be communicated to Warp prior to gift card sending/shipment;
(d) International shipping is not available for physical gift cards. Electronic gift cards may have regional use restrictions by the issuer.
(e) Signature may be required for physical gift card delivery, if applicable.
3.6. Gift Card Security
(a) Recipients are responsible for:
(i) Maintaining gift card security (e.g., codes, physical card);
(ii) Protecting gift card codes or details;
(iii) Reporting unauthorized use immediately;
(iv) Following the issuer's security guidelines for the gift card.
(b) Warp is not responsible for unauthorized use after delivery;
(c) Suspicious activity related to a gift card may result in its cancellation by Warp or the issuer.
3.7. Value and Warranty
(a) Gift card value cannot be increased, upgraded, or combined with other offers unless specified by Warp;
(b) Inquiries regarding gift card use or terms should be directed to the gift card issuer; Warp is not responsible for issuer terms or performance.
(c) Gift cards may have restrictions on international use, as determined by the issuer.
3.8. Promotional Use
(a) Warp reserves the right to:
(i) Feature gift card recipients in promotional materials;
(ii) Request testimonials from recipients;
(iii) Share aggregated gift card program data;
(iv) Modify the choice of gift card offered in the Promotion.
(b) Recipients may opt-out of promotional features in writing.
3.9. Compliance and Reporting
(a) Gift cards may be subject to:
(i) State and federal promotional item regulations;
(ii) Anti-money laundering requirements;
(iii) Tax reporting obligations;
(iv) Industry-specific restrictions.
(b) Recipients must comply with all applicable laws and regulations;
(c) Warp may report gift card distributions to relevant authorities.
3.10. Modification and Cancellation
(a) Warp reserves the right to:

(ii) Cancel or recall gift cards (if unredeemed) for compliance reasons;
(iii) Substitute gift cards of equal value;

4. GENERAL CONDITIONS

Warp reserves the right to:
(a) Modify, suspend, or terminate these Terms or the Promotion, in whole or in part, at any time and for any reason, with or without prior notice;
(b) Modify the gift card type, value, or redemption process;
(c) Change the eligibility criteria or participation requirements;
(d) Limit participation to specific geographic regions or business sectors;
(e) Implement additional verification procedures or requirements;
(f) Suspend or terminate any participant's involvement in the Promotion without prior notice or liability.
4.2. Disqualification and Enforcement
Warp may, in its sole discretion, disqualify participants for:
(a) Violation of these Terms or any portion thereof;
(b) Fraudulent, deceptive, or suspicious activity;
(c) Providing incomplete, inaccurate, or misleading information;
(d) Attempting to circumvent or manipulate these Terms or the Promotion;
(e) Engaging in behavior that is unlawful, disruptive, or contrary to Warp's interests;
(f) Failing to complete the platform sign-up as required;
(g) Any other reason deemed appropriate by Warp.
4.3. Gift Card Administration
(a) Gift cards will be distributed as specified by Warp (electronically or physically);
(b) Warp is not responsible for lost, stolen, or damaged gift cards (or their codes) once delivered;
(c) Gift cards must be claimed or redeemed within their specified validity period (30 days after sending);
(d) Replacement of gift cards is at Warp's sole discretion;
(e) Gift cards may be subject to additional terms and conditions imposed by their issuer.
4.4. Promotion Integrity
Warp reserves the right to:
(a) Investigate any suspicious or fraudulent activity;
(b) Require additional verification from participants;
(c) Reject applications that appear to be duplicative or from related entities;
(d) Implement technical or other measures to maintain the integrity of the Promotion;
(e) Share information with law enforcement regarding suspected illegal activities;
(f) Maintain records of disqualified participants to prevent future participation.
4.5. Communication
(a) Warp may communicate with participants regarding the Promotion via email, phone, or other means;
(b) Participants consent to receive promotional communications from Warp;
(c) Opt-out options will be provided in accordance with applicable laws;
(d) Failure to respond to Warp's communications within specified timeframes may result in disqualification.
4.6. Reservation of Rights

5. LIMITATION OF LIABILITY AND DISCLAIMERS
5.1. Absolute Disclaimer of Claims
(a) By participating in the Promotion, participants irrevocably agree that:
(i) No claims of any kind may be filed against Warp;
(ii) All decisions by Warp are final and non-contestable;
(iii) No appeals process exists or will be provided;
(iv) Participants waive all rights to litigation or arbitration;
(v) No compensation or damages may be sought.
5.2. Complete Discretion
(a) Warp maintains absolute and unreviewable discretion regarding:
(i) Qualification determinations;
(ii) Gift card issuance;
(iii) Sign-up adequacy;
(iv) Verification of credentials;
(v) Any other promotion-related decisions.
5.3. Comprehensive Release
(a) Participants permanently and irrevocably release Warp from:
(i) All current and future claims;
(ii) Known and unknown disputes;
(iii) Any form of damages;
(iv) Any legal or equitable relief;
(v) Any form of compensation.
5.4. Acknowledgment of Terms
(a) Participant explicitly acknowledges and agrees that:
(i) Participation is entirely voluntary;
(ii) No legal rights are created;
(iii) No claims may be pursued;
(iv) Warp's decisions are final and binding;
(v) These terms are fair and reasonable.
5.5. Binding Effect
(a) These terms are:
(i) Immediately binding upon participation;
(ii) Non-negotiable;
(iii) Not subject to modification;
(iv) Not subject to challenge;
(v) Permanently enforceable.
GOVERNING LAW
6.1. These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflicts of law principles.
